This website, located at www.pinotera.com (the "Site"), is owned, managed, and operated exclusively by Pinotera Limited (hereinafter referred to as "the Company", "we", "us", or "our"). By accessing the Site, utilizing our private client portals, or purchasing products and masterclass services from us, you agree to be legally bound by the following Terms of Service (the "Terms"). Please read these Terms carefully before placing an order. If you do not agree to all of these Terms, you must immediately cease using this Site.
1. General Framework and Updates
These Terms govern all commercial transactions, allocations, website interactions, and service utilization between you (the "Customer", "Client") and Pinotera Limited. We reserve the absolute right to amend, update, or replace any part of these Terms at our sole business discretion without prior individual notice. Any modifications will be posted directly to this page with an updated revision date. Your continued use of the Site or our services following updates constitutes explicit and binding acceptance of those modifications.
2. Statutory Age Requirement (Liquor Licensing Compliance)

Legal Declaration: In strict compliance with the laws of the Hong Kong Special Administrative Region (HKSAR) regarding the commercial sale and supply of intoxicating liquor, you solemnly declare and confirm that you are at least 18 years of age (or the legal drinking age in your primary country/region of residence) when purchasing any alcoholic beverage from us.
Verification Protocols: Pinotera Limited enforces strict age-verification protocols. We reserve the absolute right to mandate that valid, government-issued photo identification (such as a Hong Kong Identity Card or Passport) be presented by the recipient at the time of delivery or event entry. If the recipient is unable to prove they are of legal drinking age, delivery or service will be denied, the items will be returned to our warehouse, and any subsequent delivery attempts will incur standard administrative logistics charges.

3. Product Availability, Vintages, and Platform Errors

Inventory Allocation: All product listings, allocations, and private client offerings on our Site are subject to stock availability. Due to real-time market dynamics, allocation sync gaps, or sudden supplier discontinuations, an item may become unavailable after an order has been submitted. In such circumstances, Pinotera Limited will contact you to offer an equivalent substitute, adjust the vintage allocation, or process a full refund.
Pricing Modifications: Pinotera Limited reserves the right to modify prices, vintage years, and allocation terms at any time without prior liability or notice.
Exemption from Technical Inaccuracies: Human errors, system glitches, or database lag may result in inaccurate pricing or typographical descriptions showing on the platform. Pinotera Limited is under no legal obligation to honor transactions arising from clear pricing, vintage, or inventory discrepancies. In the event of an error, we reserve the right to unilaterally cancel the affected order prior to physical fulfillment, notify the customer via mobile, and issue a full refund.

4. Order Processing, Acceptance, and Payment Terms

Formation of Sales Contract: The receipt of an electronic order acknowledgment or invoice confirmation does not signify Pinotera Limited’s formal acceptance of your order. A legally binding sales contract is only formed when your order has been officially verified, processed, and dispatched from our climate-controlled warehouse. We reserve the absolute right to refuse, limit, or cancel any order or masterclass booking at our sole business discretion.
Payment Settlement: Payment must be settled in full at the time of order confirmation or invoice generation. We accept authorized payment options supported by our Shopify gateway (including Visa, Mastercard, and PayPal) or bank transfers as pre-arranged with our sales directors.
Fraud Gateways: We reserve the right to cancel transactions if our security infrastructure flags an order for suspected fraudulent activity, unauthorized identity usage, or payment irregularities.

5. Shipping, Delivery, and Passing of Risk

Fulfillment Timeframes: We endeavor to fulfill and deliver standard orders within the estimated business days displayed at checkout. However, delivery timeframes are non-binding estimates and may be subject to delays due to logistics disruptions, custom holds, or external courier network bottlenecks.
Passing of Liability: Upon delivery and acceptance of the goods by the customer (or their designated representative), all risk of loss, damage, structural deterioration, or cork failure passes entirely to the customer. Pinotera Limited will entertain no subsequent claims for physical defects, broken seals, or external capsule damage reported after delivery has been signed for and completed.

6. Intellectual Property Rights
All proprietary content displayed on this Site—including but not limited to brand logos, custom graphics, technical wine specifications, tasting keyword structures, original photographic media, website layout, and underlying software code—is the exclusive intellectual property of Pinotera Limited or its licensed partners and is protected under prevailing HKSAR trademark, copyright, and intellectual property ordinances. Unauthorized reproduction, data scraping, extraction, or commercial redistribution of any site content without explicit written authorization from our directors is strictly prohibited.
7. Limitation of Liability and Force Majeure

Disclaimer of Damages: To the maximum extent permitted by the laws of Hong Kong, Pinotera Limited, its directors, partners, and employees shall not be held liable for any direct, indirect, incidental, punitive, or consequential damages resulting from your use of the website, software errors, server down-time, or the consumption of products purchased from us.
Force Majeure: Pinotera Limited is entirely absolved of operational liabilities, masterclass cancellations, or delivery delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government blackouts, severe weather events (such as Typhoon Signal No. 8 or Black Rainstorm Warnings), strikes, civil unrest, or global supply chain breakdowns.

8. Data Privacy
Your submission of personal data through our digital storefront or mobile sales channels is securely processed and governed strictly in accordance with our Privacy Policy, which complies with the Personal Data (Privacy) Ordinance (PDPO) of Hong Kong.
9. Severability Clause
If any individual provision, clause, or paragraph of these Terms is deemed invalid, unlawful, or unenforceable by a competent court of law, such invalidity shall apply strictly to that localized clause. The remaining segments, terms, and provisions shall continue to maintain their full legal validity, binding power, and enforceability.
10. Governing Law and Dispute Jurisdiction
These Terms, along with all associated commercial operations, private client sales, and legal relations, shall be governed by, interpreted, and construed exclusively in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any legal causes of action, disputes, or claims arising directly or indirectly out of these terms shall be submitted exclusively to the jurisdiction of the competent courts of the Hong Kong Special Administrative Region.
